Cian Mutual Non-Disclosure Agreement This mutual non-disclosure agreement is intended for organisations exploring a live test or pilot with Cian. 1. Purpose The parties may share confidential information for the purpose of evaluating or testing the Cian service in a live or pilot environment. 2. Confidential information Confidential information includes operational information, workflow details, internal documents, technical material, evaluation notes, and any non-public information disclosed by either party. 3. Mutual obligations Each party agrees to: - keep the other party's confidential information confidential - use it only for the evaluation, testing, or pilot purpose - limit access to people who need it for that purpose - protect it with reasonable care 4. Exclusions This does not apply to information that: - is already public through no breach - was already lawfully known - is lawfully received from another source - is independently developed without use of the confidential information 5. Duration The confidentiality obligations continue for a reasonable period after disclosure, including after any live test or pilot ends. 6. Return or deletion On request, each party will return, delete, or stop using confidential materials, subject to any legal or operational retention obligations. 7. No licence or commitment This agreement does not transfer ownership, create a licence, or require either party to proceed with any pilot or commercial arrangement. 8. Pilot note Creating a live test email account is self-serve. A later pilot or deeper operational engagement may proceed under a formal mutual NDA if both parties agree.
